What is the Alliance Revenue Participation Program?

The Alliance Revenue Participation Program is a limited opportunity for supporters, collaborators, creators, businesses, and community members to participate in selected revenue streams connected to The K.R.A and the world we're building through music, merch, events, and culture.

Is this an investment?

No. This program is designed as a revenue participation opportunity and should not be viewed as a traditional investment product.

Participation does not guarantee earnings, profits, returns, or appreciation in value.


What am I participating in?

Participants may be eligible to participate in specific approved revenue categories associated with The K.R.A.

Current categories include:


Merchandise & Product Revenue

Participation is limited to the specific category selected.


What revenue sources are included?

Merchandise & Product Revenue

Managed through Shopify + CollabPay.

Includes eligible revenue generated from:

• Hoodies

• Apparel

• NFC Albums

• Merchandise Bundles

• Physical Products

• Approved Merchandise Collections

Do I own part of the band?

No.

Participation does not provide ownership in:

• The K.R.A

• Diverse Universe LLC

• The Alliance

• The Alliance Club

• Trademarks

• Copyrights

• Publishing Rights

• Masters

• Intellectual Property

Do I receive voting rights?

No. Participants do not receive management authority, voting rights, or decision-making power within Diverse Universe LLC.

Do I own any songs?

No.

Song ownership, publishing, copyrights, masters, trademarks, and intellectual property remain the property of Diverse Universe LLC unless otherwise agreed in writing.

Are earnings guaranteed?

No.

Revenue depends on actual:

• NFC Album sales

• merchandise sales

• audience growth

• marketing performance

• business activity


There are no guaranteed earnings.


How are payments calculated?

Payments are calculated according to the participation terms associated with the specific revenue category selected.


Details regarding calculations, reporting, and payment schedules will be provided in participation agreements.

How often are payments made?

Payment schedules may vary depending on the participation agreement.


Most participation programs are expected to operate on a quarterly reporting cycle.

How will I receive payments?

Payments may be issued through approved methods such as:


• PayPal

• ACH / Bank Transfer

• Stripe

• Other approved payment methods

Is there a minimum payout amount?

A minimum payout threshold may apply before payments are issued.


Specific details will be outlined in the applicable participation agreement.

Can I transfer my participation to someone else?

Generally, participation rights may not be transferred, sold, or assigned without written approval from Diverse Universe LLC.

Can I purchase multiple participation tiers?

Yes.

Participants may purchase available participation tiers, subject to program limits and availability.

What revenue is NOT included?

This program does NOT include:

Spotify Revenue

Apple Music Revenue

YouTube Music Revenue

DSP Streaming Revenue

Publishing Revenue

Sync Licensing Revenue

Copyright Revenue


DSP Revenue is handled separately through the DSP Revenue Participation Program.

How does the payment process work?

Revenue flows through the following structure:

What is CollabPay?

CollabPay is the platform used to help manage and distribute approved merchandise participation payments.

Does Shopify pay me directly?

No.


Shopify pays Diverse Universe LLC.


Diverse Universe LLC then administers participation payouts through approved systems.

Do I need a Shopify account?

No.


Participants do not need to own or operate a Shopify account.

What do I need to participate?

You must provide:


 Approved Participation Application


 Signed Participation Agreement


 Required Tax Documentation


 Approved Payment Information


 Active Email Address

Do I own part of the merchandise brand?

No.


Participation does not provide ownership of:


• The K.R.A


• Diverse Universe LLC


• The Alliance


• The Alliance Club


• Trademarks


• Logos


• Designs


• Intellectual Property

Do I own the hoodie designs?

No.


All merchandise designs, artwork, branding, trademarks, and associated intellectual property remain property of Diverse Universe LLC unless otherwise agreed in writing.

What am I actually receiving?

Participants receive a contractual right to receive a percentage of eligible merchandise revenue distributions according to their participation agreement.

How often are payouts made?

Payout schedules may vary depending on the program.


Most distributions are expected to occur on a quarterly basis.

Are payouts guaranteed?

No.


Revenue depends on actual:


• Product Sales


• Customer Demand


• Marketing Performance


• Inventory Availability


• Store Performance


There are no guaranteed earnings.

Is there a minimum payout threshold?

Yes.


A minimum payout threshold may apply before distributions are issued.


Amounts below the threshold may roll forward into future periods.

How are participation payments calculated?

Participation payments are calculated according to the percentage assigned in the participant's agreement.

What is recoupment?

Can I sell my participation rights?

Do I get voting rights?
